NON‐DISCLOSURE AGREEMENT WITH
ADVANCED MICRO DEVICES, INC. (“AMD”)

As a participant in the AMD Business Partner Empowerment Club, you may receive AMD confidential and proprietary information, including but not limited to product roadmaps, marketing plans, marketing investment strategies, design guide information, as well as information pertaining to the current state of business, the competitive landscape, marketing and branding strategies and investments for various AMD businesses, and any other information that may be reasonably determined to be and/or marked as Confidential or Proprietary by AMD. All such AMD confidential and proprietary information is collectively referred to herein as “Confidential Information.”
您作为AMD商用伙伴合作伙伴成长中心的成员可能会获知AMD的保密信息和专有信息，包括但不限于产品路线图、营销策划、营销投资策略、设计指南信息以及关于AMD目前的业务状况、竞争状况、市场营销和品牌战略以及各种AMD业务的投资的信息，以及AMD可能合理确定为和/或标记为保密或专有的任何其他信息。AMD的所有机密和专有信息在此统称为“保密信息”。
You acknowledge that you have read this non‐disclosure agreement (the “Agreement”), and that you agree to abide by the following with respect to the Confidential Information.
您确认已阅读本保密协议(以下简称“本协议”)，并同意遵守以下有关保密信息的约定。
If your company has previously executed a non‐disclosure agreement with AMD that remains in effect through the date of the Event (an “Existing NDA”), you agree that the Confidential Information described herein shall be deemed confidential information under the terms of the Existing NDA and subject to the terms and conditions therein.
如果您的公司与AMD已签署并保持有效的保密协议（“现有NDA”），您同意本协议中所述的保密信息在现有NDA条款下被视为保密信息，并受现有NDA条款和条件的约束。
If there is no Existing NDA, you agree that (i) you are authorized to act on behalf of your company and to bind the company; (ii) you will only use the Confidential Information for your internal evaluation of AMD products and will only provide such information to other employees of your company who have a need to know and who are bound by written confidentiality agreements; and (iii) you will not disclose the Confidential Information to any third party without the prior written consent of AMD. This obligation of confidentiality lasts until the date AMD makes the Confidential Information public, and does not apply to information which (i) was in your possession before receipt from AMD; (ii) is or becomes a matter of public knowledge through no fault of yours; (iii) is rightfully received by you from a third party without a duty of confidentiality; (iv) is disclosed by AMD to a third party without a duty of confidentiality on the third party; or (v) is independently developed by you without any use of the Confidential Information received from AMD.
如果您所在的公司尚未和AMD签署有效的保密协议，您在此同意：1. 您有权作为公司的合法授权人且行为对公司具有约束力；2. 您将仅为内部评测AMD产品的目的使用保密信息，且仅会将该等信息提供给所在公司有必要知道及受书面保密协议约束的其他雇员；3. 在没有取得AMD事先书面同意的情况下，您不会向任何第三方披露保密信息。此保密义务持续到AMD将保密信息公开之日，并不适用于：1. 在收到AMD的信息之前，您已拥有的信息；2. 并非由于您的过错而造成众所周知；3. 您从第三方合法获取的且无需承担保密义务的信息；4. AMD向第三方披露而该第三方没有保密义务；或5. 您在未使用从AMD收到的保密信息的情况下独立开发的。
You acknowledge and agree that (i) except for the limited use set forth above, you do not acquire any AMD intellectual property rights, and (ii) all Confidential Information disclosed by AMD is provided “as is”, without express or implied warranties, and that you assume any and all risk associated with the possession or use thereof.
您在此认可并同意，除了上述规定的有限使用，您并不会获得任何AMD的知识产权，并且AMD的所有保密信息均“按现状”提供，没有任何明示或默示的保证，您应承担占有、使用该等信息的全部风险。
This Agreement is made under and shall be construed according to the laws of the State of Texas, excluding conflicts of law rules. Unless an Existing NDA is controlling, the terms in this Agreement apply.
本协议根据美国德克萨斯州法律制定并依其进行解释，但排除法律冲突规则。本协议中的条款若与现有NDA存在冲突，以现有NDA条款为准，其他内容应适用本协议。
You acknowledge that your breach of this Agreement may cause irreparable damage and agrees that, in the event of a breach of this Agreement, AMD shall be entitled to seek injunctive relief under this Agreement, as well as such further relief as may be granted by a court of competent jurisdiction.
您认可违反本协议可能造成不可挽回的损害并同意如有发生违反本协议的情况，AMD有权根据本协议寻求禁令救济以及有管辖权的法院所授予的进一步救济等。
This Agreement is executed in Chinese and English. In case of any discrepancies, the English language version shall prevail.
本协议以中文和英文两种语言版本签署。如果中英文版本之间存在任何差异，以英文版本为准。
